T. Rowe Price Events Terms & Conditions

These event terms and conditions (“Terms”) govern your registration for and participation at a T. Rowe Price event, whether in-person or virtual (“Event”), and are an agreement between the T. Rowe Price entity hosting the event (“T. Rowe Price”, “we”, “our”, or “us”) and you. BY (1) CLICKING A BOX INDICATING ACCEPTANCE, (2) REGISTERING FOR AN EVENT, OR (3) PARTICIPATING IN OR ATTENDING AN EVENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THESE TERMS AND ACKNOWLEDGE RECEIPT OF THE APPLICABLE T. ROWE PRICE PRIVACY NOTICE FOR THE JURISDICTION WHERE YOU ARE LOCATED WHICH IS AVAILABLE AT HTTPS://WWW.TROWEPRICE.COM/CORPORATE/EN/PRIVACY-NOTICE.HTML.    

1. Event Registration and Attendance, Privacy.  

1.1  You may only register for and attend or participate in the Event in accordance with these Terms. To register for the Event, you must complete the Event registration process. You hereby acknowledge and affirm that you are above the age of majority of the country where the Event is being held and can legally be bound to these Terms prior to attending or participating in the Event. You acknowledge that during the Event, interactive tools and features may be available to you that gives you the ability, depending on the features available on the platform and your device, to interact with us and/or other participants via video, Q&A function, chat function, polls, whiteboarding, survey, and other means of interaction. If you do not wish to interact during the Event, do not participate in any of the interactive functions available to you. Event registration is subject to availability and may close earlier than the posted deadline, as determined in our sole discretion. A valid email address is required for all registrations. We may change the Event at any time, as determined in our sole discretion. Receipt of registration does not constitute acceptance. If you experience an error message or service interruption after submitting your registration, you acknowledge it is your responsibility to confirm with T. Rowe Price or the Event organizer whether your registration has been received. You acknowledge that only you may be aware of any problems that may occur during the registration process.  

1.2  T. Rowe Price, its Event partners, and third party service providers may have access to the information you provide when you register for or attend the Event, including, but not limited to, your email address, name, and other personal information. Any personal information that we may collect or obtain in connection with the Event may be used in accordance with these Terms and the applicable T. Rowe Price Privacy Notice available at https://www.troweprice.com/corporate/us/en/privacy-notice.html.    

2. Revisions to Terms. 

You acknowledge and agree that T. Rowe Price may revise these Terms, in its sole discretion, at any time by posting a revised version on troweprice.com or any other applicable T. Rowe Price website, and such updates will be effective upon posting. By attending the Event after the effective date of any modifications to these Terms, you agree to be bound by the modified terms. 

3. Standard of Conduct.

3.1  Searches. You understand that you and your property may be subject to a reasonable search upon entry to and throughout the Event by designated security personnel and you may be asked to provide photo identification. You consent to such searches and waive any related claims that may arise.  If you do not consent to such searches, you acknowledge that you may be denied entry to or may be required to leave the Event without compensation. You agree that you will not leave any bags or other property unattended at any time. Unattended property may be removed without notice.  

3.2  Prohibited Items. T. Rowe Price and the Event Venue Owner has the exclusive right to determine what items may be brought into an Event. You agree that you will read and adhere to any notices issued by T. Rowe Price or the venue related to prohibited items.  T. Rowe Price and the Event Venue Owner reserves the right to confiscate any item which in the sole opinion of T. Rowe Price may cause danger or disruption, be a health and safety risk, not be suitable to be taken into the Event or is one of the items not permitted in the Event premises as detailed in these Terms.  T. Rowe Price and the Event Venue Owner reserve the right to remove you from or require that you vacate the Event for any or no reason.  

3.3  Safety and Security; Conduct. To help us provide the best Event experience for everyone, attendees are expected to be respectful, considerate, and collaborative. You shall not engage in any unacceptable behavior and shall comply immediately if asked by anyone to stop such behavior. Unacceptable behavior includes but is not limited to: harassment; discrimination; lewd, provocative, or offensive behavior toward Event attendees, organizers, or others; offensive, obscene and/or inappropriate language, symbols, graphics, or otherwise objectionable content on chat, Q&A, message boards, and other online event components; disturbing the peace; committing any fraudulent or unlawful act; destruction or vandalization of property; possession of weapons or illegal substances; failure to abide by rules of the venue or instructions of the Event organizers; sharing Event badges; interference with Event operations; posting copyright content without permission from the owner; unauthorized copying or reproducing Event materials; or unauthorized harvesting of Event attendee or organizer information. If you engage in unacceptable behavior, T. Rowe Price, its co-hosts, Event organizers, and the Event Venue Owner may take any action they deem appropriate, up to and including expulsion from the Event without warning or compensation and, if appropriate, involvement of local law enforcement. 

3.4  Additional Consequences. Without limiting any other remedy under these Terms or applicable law, if you fail to comply with: (i) these Terms, any information or guidelines provided by T. Rowe Price in connection with the Event; (ii) specific terms or standard of conduct provided by a co-host, other sponsor of the Event, or other party related to the Event; (iii) the Event venue rules, policies, and guidelines; (iv) all applicable health and safety laws, rules, and regulations, and governmental recommendations, or (v) any other agreement agreed to by you in connection with the Event, T. Rowe Price may take any action it deems appropriate in response, including cancelling your Event registration or banning you from the applicable Event or any or all other future events. 

4. Third Party Providers and the T. Rowe Price Events App 

T. Rowe Price may offer a third party service provider’s (each, a “Provider”) products, services, or materials (“Provider Services”) at an Event. The Provider Services are made available exclusively by each Provider, and T. Rowe Price is not responsible for any Provider Services nor for the performance of the Provider Services in connection with or at an Event. T. Rowe Price does not make any representations about the Provider Services. You acknowledge that you may be subject to the rules, regulations, terms of service, privacy policy and/or related agreements of any and all such Providers, including the Provider of the Event venue, premises and facilities (“Event Venue Owner”). You acknowledge that T. Rowe Price accepts no responsibility for any damage and/or delay due to a Provider’s cancellations, shortages, labor disputes, machinery breakdown as well as any quarantine, government restraints, inclement weather or force majeure events beyond T. Rowe Price’s control. If you have any disputes or issues regarding a Provider Services, you must contact the Provider directly. Each Provider is solely responsible for the accuracy, care and quality of the products and Provider Services being provided.  T. Rowe Price shall not be responsible for any Provider's failure to comply with applicable federal, state, and local law. The T. Rowe Price Events mobile application (or any other application or website through which you may register for an Event or access Event information or materials or Provider Services) may contain or make available information from Providers who offer hotel accommodations, transportation, and other Provider Services. For further clarity, reservations with a Provider are provided as a Provider Service, and T. Rowe Price is not responsible for any issues or disputes between you and such Provider. You will be responsible for complying with the Provider’s cancellation policy, including if an Event is cancelled for any reason. 

5. Event Content. 

You acknowledge and understand that any content, information, data, or materials presented or provided to you before, during, or after an Event in connection with the Event (“Event Content”) is for general informational or educational purposes only and is provided on an AS IS basis. T. Rowe Price makes no representations or warranties, of any kind whatsoever, express or implied, as to the completeness, accuracy, usefulness or timeliness of the Event Content and T. Rowe Price shall have no liability or responsibility for any error or omissions in the Event Content. Under no circumstances should any Event Content provided herein be construed as professional, investment, legal, tax or accounting advice. Subject to the limited rights expressly granted hereunder, T. Rowe Price, its licensors, and Event Content Providers reserve all of their right, title, and interest in and to the Event Content, including all of their related intellectual property rights. No rights are granted to you hereunder other than as expressly set forth herein. You may use the Event Content solely for your personal, non-commercial informational purposes. You agree that you will not reproduce, sell, distribute, share, transmit, or make derivative works from the Event Content (including any audio or video recordings, digital images, screenshots, photographs, or downloads), unless we otherwise expressly indicate that the Event Content can be copied or shared. The views expressed by any Provider, Event attendee, speaker, exhibitor, or sponsor are not necessarily those of T. Rowe Price.  All attendees, speakers, exhibitors, and sponsors are solely responsible for the Content they provide or present during the Event.  

6. Your Materials; T. Rowe Price Recordings.  

6.1  As part of the Event, you may display, transmit, upload, import, submit, present and/or otherwise disclose materials, content, data, images, and other information including, but not limited to, your name, pseudonym, voice, image, personae, likeness, performance, biographical information, or any statements made by you, in electronic copy, hard copy, verbally, or otherwise (“Your Materials”). You hereby grant T. Rowe Price, and its affiliates, agents, employees, contractors, and assigns the right to record, film, photograph, screenshot, transmit, broadcast, or otherwise capture Your Materials in any media at the Event (the “Recordings”).  You hereby grant T. Rowe Price, and its affiliates, agents, employees, contractors, and assigns a perpetual, worldwide, royalty-free, irrevocable, non-exclusive, transferable, and fully sublicensable (through multiple tiers) right and license to use, reproduce, distribute, display, modify, perform, create derivative works of, make available, and reuse the Recordings and Your Materials , in whole or in part, in any format or manner and all media now known or hereafter developed, and for any purpose whatsoever, so long as it is not prohibited by law, including any promotional or advertising uses, without payment of any kind.   You represent and warrant that (a) Your Materials are true and accurate to the best of your knowledge, (b) you have the necessary rights and permissions to grant the license in this Section 6.1, and (c) Your Materials do not violate or infringe any copyright, trademark, or other proprietary rights of any person or entity. 

6.2  You acknowledge and agree that (A) you have no rights of prior approval over our use of Your Materials; (B) Your Materials may be retouched, cropped, edited, and or otherwise modified by us at our sole discretion; (C) we have no obligation to use Your Materials or the Recordings, in whole or in part; (D) we have no control over, and are not responsible for, any use or misuse (including any distribution) by any third party of the Recordings or Your Materials; and (E) T. Rowe Price or its affiliates exclusively own all right, title and interest (including intellectual property rights) in and to the Recordings, all modifications and derivatives of the Recordings. 

6.3  You release and discharge T. Rowe Price, and its affiliates, agents, employees, contractors, Event partners and sponsors, Providers and assigns, from any and all claims and actions arising out of (A) your appearance, attendance, or participation in the Event and (B) such use and/or reuse of Your Materials and the Recordings, including, without limitation, any and all claims for invasion of privacy, infringement of rights of publicity, violation of moral rights, and libel. You expressly agree that this release is intended to be as broad and inclusive as legally permitted by the law. This release shall inure to the benefit of the assignees, licensees and legal representatives of T. Rowe Price and constitutes the entire understanding between the parties of the subject matter hereof. 

7. Feedback

You acknowledge that you may provide ideas, suggestions, recommendations, or improvements (“Feedback”) to T. Rowe Price before, during, or after your attendance at the Event. You authorize us, our agents, employees, and partners to use any Feedback that you provide without restriction and without obligation to you. 

8. Government Employees or Officials 

If you are a government employee or official, you must also comply, for the entire duration of the Event, with all applicable rules and regulations imposed by your employing agency, including those rules and regulations relating to the acceptance and disclosure of gifts and gratuities. 

9. Badges 

9.1  T. Rowe Price may use badges that contain radio frequency identification (RFID) tags or other technology that may be used to record your attendance and participation at an in-person Event, or software technology to record your participation at a virtual Event. By allowing your Badge to be scanned at an in-person Event, or visiting a virtual booth or session at a virtual Event, you hereby authorize the operator of the badge scanner or similar technology to collect and process such information in accordance with the applicable privacy notice available at https://www.troweprice.com/corporate/en/privacy-notice.html and/or the privacy policy of the entity that scanned your badge.    

9.2  T. Rowe Price is not responsible for the privacy practices of any third party. Please contact the third party to learn more about its practices with respect to any information that it collects. If you do not wish to permit the uses and disclosures of information described in this Section, do not scan your badge or allow T. Rowe Price or any third party to scan your badge at any time during the Event. 

9.3  At all times during an in-person Event (including at any Event venue or during any Event session, keynote or other activity), you will wear your Event badge such that it is visible to other Event attendees and participants. You will not share or exchange your Event badge with any other person. 

9.4  For an in-person Event, an Event badge may be available for you to pick up at the designated check-in area of the Event venue during the scheduled Event dates. Depending on jurisdiction requirements you may be required to show a government-issued picture identification to pick up your Event badge. Admittance to the Event and/or the Event venue without an Event badge is subject to the sole discretion of T. Rowe Price or the appliable Event Venue Owner or Event Provider.

11. Assumption of Risk 

You acknowledge and agree that attending and participating in the Event is completely voluntary, and you understand the nature of the Event. You are fully aware and agree that your in-person attendance at the Event and participation in the Event or any Event related activities (including extracurricular, recreational, or entertainment activities) carries with it certain inherent risks. Furthermore, you acknowledge and accept that: (a) infectious diseases or viruses may be extremely contagious diseases that can lead to severe illness and death, and there is an inherent danger and risk of exposure to infectious diseases and viruses at the Event; (b) no health and safety policies can entirely eliminate the risk of exposure to  infectious diseases or viruses; and (c) exposure to infectious diseases or viruses can result in subsequent quarantine, illness, disability, other short-term and long-term physical and/or mental health effects, and/or death, regardless of age or health condition at the time of exposure and/or infection. To the maximum extent permitted by law, you accept and knowingly assume any and all risks arising from and relating to your attendance or participation in the Event, including, but not limited to (i) financial responsibility for any injury that you may cause either to yourself or others due to your negligence or misconduct, (ii) any and all personal injury or illness to you, your guests, or other people around you, (iii) exposure to diseases or viruses, and (iv) any and all or damage to your or a third party’s personal property.   You acknowledge that you have no physical impairments, injuries, or illnesses that will endanger yourself or others. In an emergency, you acknowledge that you are solely responsible for all medical and other costs arising out of bodily injury or any loss sustained through participation in the Event. You authorize the Event staff to secure any licensed hospital, physician and/or medical personnel for any treatment deemed necessary for your immediate medical care.  

12. Personal Release 

In consideration of the above mentioned risks and hazards and your willing and voluntary participation in the Event and the activities offered during the Event, you hereby warrant and represent that you freely waive, release from liability, assume all risks, and covenant not to sue T. Rowe Price or its partners, respective directors, officers, members, contractors, representatives, employees, board members, agents, or volunteers, successors, and assigns (“Covered Parties”) from any and all liability, claims, expenses, loss, damage, personal injury, loss of life, illness, disability, property damage, property theft, demands, actions or rights of action, which are related to, arise out of, or are in any way connected to your participation in the Event or an activity offered during the Event or that you may have now or in the future that are associated in any way with the Event, Image, Recording, and/or Feedback, including those allegedly attributed to the negligent acts or omissions of the Covered Parties. You agree that these Terms shall be binding upon you, your successors, representatives, heirs, executors, assigns, and transferees and is knowingly given.  

13. Limitation of Liability 

T. ROWE PRICE AND ITS AFFILIATES AND OUR RESPECTIVE PARTNERS, RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, VOLUNTEERS, AGENTS, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE TO YOU UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, FOR (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR (B) LOST PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, OR GOODWILL. IN ANY CASE, T. ROWE PRICE AND ITS AFFILIATES’ AND OUR RESPECTIVE PARTNERS’, RESPECTIVE DIRECTORS’, OFFICERS’, EMPLOYEES’, CONTRACTORS’, REPRESENTATIVES’, VOLUNTEERS’, AGENTS’, SUCCESSORS’, AND ASSIGNS’ AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED ONE U.S. DOLLAR (USD $1). THE LIMITATIONS IN THIS SECTION 13 APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. 

14. Indemnity. 

You agree to indemnify and hold harmless T. Rowe Price, our affiliates, partners, respective directors, officers, employees, contractors, representatives, volunteers, agents, successors, and assigns from any and all liability, costs, damages, expenses, losses, fines, and penalties, related to or arising out of any actual or threatened claim, action, or proceeding resulting from or in connection with (i) your registration, attendance, participation, or conduct at the Event or its related events, (ii) your negligence, gross negligence, bad faith, willful misconduct or criminal acts, or (iii) your breach of these Terms. 

15. Cancellation 

We may cancel the Event at any time for reasons including, for example, availability or suitability of venue or speakers or on security, health, or safety grounds, and we may deny, limit, or cancel your Event registration at any time. We are not responsible for any damages, direct or indirect, resulting from such cancellation. T. Rowe Price will make every effort to communicate Event cancellations and modifications to you through the Event registration site or through email at the email address provided by you at registration.  

16. Governing Law 

These Terms are governed by, construed and enforced in accordance with the laws of (a) the State of Maryland if the Event is scheduled to occur within the United States or, if strictly virtual, hosted by a T. Rowe Price entity established in the United States, (b) the Province of Ontario if the Event is scheduled to occur within Canada or, if strictly virtual, hosted by a T. Rowe Price entity established in Canada, (c) England and Wales, if the Event is scheduled to occur within the United Kingdom or, if strictly virtual, hosted by a T. Rowe Price entity established in the United Kingdom, (d) Hong Kong if the Event is scheduled to occur in Hong Kong or, if strictly virtual, hosted by a T. Rowe Price entity established in Hong Kong, (e) Singapore if the Event is scheduled to occur in Singapore or, if strictly virtual, hosted by a T. Rowe Price entity established in Singapore, (f) New South Wales if the Event is scheduled to occur in Australia or, if strictly virtual, hosted by a T. Rowe Price entity established in Australia, (g) Japan if the Event is scheduled to occur in Japan or, if strictly virtual, hosted by a T. Rowe Price entity established in Japan, (h) Italy if the Event is scheduled to occur in Italy or, if strictly virtual, hosted by a T. Rowe Price entity established in Italy, (i) Germany if the Event is scheduled to occur in Germany or, if strictly virtual, hosted by a T. Rowe Price entity established in Germany, (j) Spain if the Event is scheduled to occur in Spain or, if strictly virtual, hosted by a T. Rowe Price entity established in Spain, (k) Luxembourg if the Event is scheduled to occur in Luxembourg or, if strictly virtual, hosted by a T. Rowe Price entity established in Luxembourg, (l) England and Wales if the Event is scheduled to occur in any other country not listed above or, if strictly virtual, hosted by a T. Rowe Price entity established in any other country not listed above,  and without regard that jurisdiction’s laws regarding conflict of laws.  

17. Severability and Waiver 

You agree that if any clause or provision of these Terms is held to be invalid, illegal, or unenforceable, the invalidity of that provision shall be limited or eliminated to the extent necessary and such clause or provision will not otherwise affect the remaining provisions of these Terms which shall continue to be enforceable and remain in full force and effect. Any failure on T. Rowe Price’s part to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.  

18. Force Majeure 

In the event that T. Rowe Price, its Event partners, or Providers are prevented from carrying out its obligations as a result of any cause beyond its control, such as but not limited to: riots, wars, labor disputes, shortages,  insurrections or hostilities within or between any nations; acts of God; fires, storms, floods, earthquakes, hurricanes, and other natural disasters; explosions; disease, epidemics, pandemics (including COVID 19 and other infectious diseases), or health emergencies; the failure of any third party to deliver goods or services for the Event; power, communication line or other utility service disruptions; or embargos, travel bans, and other governmental restrictions or recommendations that affect or materially impact the purpose of the Event; or any other situation that makes it impossible, illegal or commercially unfeasible for T. Rowe Price or its Event partners, or Providers to hold the Event, T. Rowe Price reserves the right to cancel or reschedule the Event, and shall be relieved of its obligations and liabilities in connection therewith. 

19. Survival 

The provisions of these Terms that by their nature and content are intended to survive the performance hereof, will so survive the expiration, cancellation, or termination of the Event or these Terms. Without limiting the generality of the foregoing, Sections 1, 2, 5, 6, 7, 8, 10, 12, 13, 14, 15, 16, 17, 19 and 20 of these Terms will survive termination or cancellation of the Event or termination of these Terms. 

20. Entire Agreement

These Terms state the entire agreement between you and T. Rowe Price, and supersede any prior or contemporaneous agreements, whether written or verbal, relating to the subject matter of these Terms. We will not be bound by, and specifically object to, any term, condition, or other provision that is different from or in addition to the provisions of these Terms (whether or not it would materially alter these Terms). These Terms include links to other agreements or notices, which are hereby incorporated by reference.
